Terms & Conditions
These Terms & Conditions outline the rules, obligations, and guidelines for accessing our website and engaging with our professional services.
1. Introduction
These Terms & Conditions (“Terms”) govern your use of the Berhiz Technologies website and, where applicable, your dealings with Berhiz Technologies in relation to our services.
“Berhiz Technologies”, “Berhiz”, “we”, “us” and “our” refer to Berhiz Technologies.
“You” and “your” refer to the person, business or organisation using our website or engaging our services.
By using our website, submitting an enquiry, requesting a service, making a payment or otherwise engaging us, you agree to the provisions applicable to your interaction or engagement.
2. Eligibility and Authority
Our services may be provided to individuals, businesses and organisations.
If you act on behalf of a business or organisation, you confirm that you have the authority to provide information, instruct us and enter into arrangements on its behalf.
3. Formation of an Engagement
Depending on the service involved, a binding engagement may arise when:
- you accept a quotation, proposal or agreed scope;
- you make a required payment or deposit;
- you submit an application or request that expressly forms part of a service process; or
- we otherwise confirm acceptance of the engagement.
The applicable quotation, proposal, service terms, package terms or written agreement may contain additional requirements.
4. Starting Work
Unless otherwise agreed, work may begin after:
- required payment or deposit has been received;
- required information and materials have been provided;
- the scope has been sufficiently agreed; and
- any necessary third-party or technical access has been made available.
Client delays in supplying information, approvals, content, documents, access or other requirements may affect delivery timelines.
5. Client Responsibilities
You agree to:
- provide accurate and complete information;
- provide materials and documents you are authorised to use or submit;
- respond reasonably promptly to requests for information or approval;
- review submitted work and provide relevant feedback;
- ensure that information submitted for regulatory or registration purposes is genuine and accurate; and
- comply with applicable laws when using our services.
We may rely on information supplied by you unless there is a reasonable basis to believe it is inaccurate or incomplete.
6. Scope of Services
The exact scope of a service will depend on the applicable quotation, package, proposal, order, application or written agreement.
Unless expressly included, a service does not automatically include additional work, features, revisions, third-party charges, ongoing support or unrelated technical issues.
7. Changes to Scope
Requests that materially change an agreed scope may be treated as additional work.
Where appropriate, we may provide a revised quotation, additional fee or revised timeline before carrying out the additional work.
8. Revisions and Approval
For website and design projects, the applicable quotation or service arrangement may include a specified number of reasonable revision rounds.
Unless otherwise agreed, two reasonable revision rounds may be included as a standard project allowance.
Additional revisions or substantial changes may attract additional charges.
You are responsible for reviewing and approving work before final delivery.
9. Payments
Payment arrangements may vary according to the service and may include:
- full payment in advance;
- an initial deposit;
- staged payments;
- payment of a balance before final handover; or
- another arrangement agreed in writing.
The applicable quotation, package or payment page will state the relevant payment requirement.
10. Payment Processing
Where applicable, payments may be processed through third-party payment providers including Paystack and Flutterwave.
Third-party payment providers may apply their own terms, verification procedures, transaction limits and processing requirements.
A payment may not be treated as finally received until the transaction has been successfully confirmed.
11. Website Design and Development
Website projects are delivered according to the agreed scope.
Depending on the project, this may include design, development, content implementation, responsive optimisation, integrations, testing and handover.
Unless expressly included, ongoing hosting, domain fees, third-party subscriptions, premium software, paid APIs, maintenance or future feature development are not automatically included.
12. Website Content and Materials
You are responsible for ensuring that text, images, logos, documents, trademarks and other materials supplied by you are accurate and that you have the necessary rights or permissions to use them.
You grant Berhiz Technologies the permission reasonably necessary to use client-provided materials for the purpose of delivering the agreed service.
13. Consultation Services
Technology consultations, assessments and advisory services are provided based on the information and circumstances made available to us.
Recommendations may depend on the accuracy and completeness of information supplied by the client.
A consultation does not automatically create an ongoing support, management or implementation obligation unless separately agreed.
14. Business Technology Management
Business Technology Management (“BTM”) services are provided according to the agreed scope, service level and engagement arrangement.
BTM does not automatically make Berhiz Technologies responsible for every technology issue, system, vendor, platform, device, network, security incident or operational problem affecting a client.
Responsibilities will depend on the agreed scope of the engagement.
15. Technology & Infrastructure Services
Technology and Infrastructure services may include, where agreed:
- network and connectivity work;
- security and surveillance solutions;
- power, energy and electrical technology;
- IT infrastructure;
- safety and fire systems; and
- technical installation, upgrades and repairs.
The specific scope, equipment, installation requirements and third-party dependencies will depend on the applicable engagement.
16. Specialist Partners and Subcontractors
Where reasonably necessary, Berhiz Technologies may engage approved specialist partners, subcontractors or service providers to assist with an agreed service.
We remain responsible for managing the agreed scope of our engagement, subject to the limitations and dependencies applicable to the service.
Third-party services may also be subject to the third party's own terms and conditions.
17. CAC Registration Services
Where Berhiz Technologies assists with CAC registration or related services, we act as a service provider and facilitator.
We are not the Corporate Affairs Commission and do not control CAC systems, decisions, approval processes, name availability, government requirements, processing times or outcomes.
CAC-related services are subject to the separate CAC Registration Terms.
18. Delivery and Timelines
Any timeline provided by Berhiz Technologies is an estimate unless expressly stated otherwise in a written agreement.
Delivery may depend on client responses, approvals, provision of materials, payment, third-party services, government processing, technical dependencies or circumstances outside our reasonable control.
A delay caused by a client or third party may extend the expected delivery period.
19. Intellectual Property
Unless otherwise agreed in writing, Berhiz Technologies retains ownership of its pre-existing materials, reusable tools, frameworks, templates, components, processes, methods, know-how and other materials developed independently of a specific client deliverable.
Where full payment has been received and the applicable engagement provides for transfer or assignment of final custom deliverables, the agreed client deliverables may be transferred to the client subject to the relevant agreement.
Third-party software, fonts, stock assets, plugins, APIs, platforms and other licensed materials remain subject to their respective licences and terms.
20. Confidentiality
Each party should take reasonable steps to protect confidential information received from the other party in connection with an engagement.
Confidential information does not include information that:
- is publicly available without breach of an obligation;
- was lawfully known before disclosure;
- is independently developed without use of confidential information; or
- must be disclosed by law, regulation, court order or lawful authority.
21. Personal Information and Data Protection
Where Berhiz Technologies processes personal information in connection with a service, the processing will be subject to our Privacy Policy and applicable data-protection requirements.
Clients should avoid providing unnecessary personal information where it is not required for the requested service.
22. Third-Party Services
Our services may depend on third-party platforms, software, hosting providers, payment providers, APIs, communication systems, government systems or other external services.
We do not control the availability, policies, pricing, functionality or continued operation of third-party services.
Where a third-party change affects an engagement, we may need to modify the scope, approach or timeline accordingly.
23. Security and Technology Limitations
We take reasonable measures to deliver services securely and professionally.
However, no website, network, software, hosting environment, communication system or electronic service can be guaranteed to be completely secure or uninterrupted.
Clients remain responsible for maintaining appropriate credentials, access controls, backups and security practices for systems under their control unless these responsibilities are expressly included in our engagement.
24. Service Results and Professional Judgment
We will perform agreed services with reasonable care and professional judgment.
Unless expressly guaranteed in writing, we do not guarantee specific commercial, financial, marketing, search-engine, business-growth or operational results from our services.
For example, website development, search-performance work, or Google Business Profile guidance/assistance does not guarantee a particular Google approval, ranking, visibility, traffic level, number of enquiries, sales volume or revenue outcome.
25. Suspension or Refusal of Service
We may suspend or decline to continue an engagement where reasonably necessary because of:
- non-payment;
- material breach of an agreement;
- fraudulent, unlawful or misleading instructions;
- abusive or threatening conduct;
- failure to provide required information or access;
- a security risk; or
- circumstances making continued performance impractical or unlawful.
Where appropriate, we will communicate the reason and any steps required to resume the service.
26. Complaints and Dispute Resolution
If you have a complaint about our services, please contact us first at:
We will make reasonable efforts to understand the issue and seek an appropriate resolution.
Where a dispute cannot be resolved through good-faith communication and negotiation, either party may pursue any remedy or forum available under applicable Nigerian law.
Nothing in these Terms is intended to remove or unlawfully restrict any consumer, regulatory or statutory right available under applicable law.
27. Limitation of Liability
To the extent permitted by applicable law, Berhiz Technologies will not be responsible for indirect, incidental, special or consequential losses arising from an engagement, including loss of anticipated profits, revenue, business opportunities or data, except where such limitation is not permitted by law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
28. Client Indemnity
To the extent permitted by applicable law, you agree to indemnify Berhiz Technologies against reasonable losses, claims, liabilities or expenses arising from:
- your unlawful use of our services;
- fraudulent or materially misleading information supplied by you;
- infringement caused by materials supplied by you; or
- your breach of these Terms or the applicable service agreement.
This clause does not apply to the extent that the relevant loss was caused by our own unlawful conduct, negligence or breach of a non-excludable legal obligation.
29. Force Majeure
We will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:
- government or regulatory action;
- failures of third-party platforms;
- internet or telecommunications outages;
- power or infrastructure failures;
- cyber incidents affecting external providers;
- natural disasters;
- serious public emergencies;
- industrial action; or
- other circumstances that could not reasonably have been prevented or controlled.
We will take reasonable steps to resume affected services where practicable.
30. Cancellation and Refunds
Cancellation, refund and rescheduling matters are governed by our Refund, Cancellation & Rescheduling Policy, together with any service-specific terms agreed with the client.
Nothing in our policies is intended to create an unlawful blanket exclusion of consumer rights.
31. Termination
Either party may terminate an engagement where termination is permitted under the applicable agreement or service terms.
Termination does not automatically remove obligations that accrued before termination, including payment obligations for work properly performed or expenses properly incurred.
32. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, website, technology, legal requirements or business practices.
The updated version will be published on the website with a revised “Last Updated” date.
Changes will not automatically alter a separately agreed project or contract unless the applicable agreement permits such changes.
33. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to operate to the extent permitted by law.
34. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory legal rights or protections applicable to the relevant customer or transaction.
