Service & Engagement Terms
These Service & Engagement Terms explain the general conditions that apply when Berhiz Technologies provides professional services to a client.
1. Purpose
These Service & Engagement Terms explain the general conditions that apply when Berhiz Technologies provides professional services to a client.
They supplement our Terms & Conditions and any quotation, proposal, package, statement of work or other written agreement applicable to a particular engagement.
2. Applicable Services
These terms may apply to services including:
- Website Design & Development;
- Brand Identity & Digital Designs;
- Technology Consultation & Assessment;
- Business Technology Management;
- Technology & Infrastructure Solutions; and
- other professional technology or digital services offered by Berhiz Technologies.
Specific service arrangements may contain additional terms.
3. Engagement Process
An engagement may begin when the client:
- accepts a quotation or proposal;
- makes a required payment or deposit;
- submits a service application;
- confirms an agreed scope in writing; or
- otherwise receives confirmation from Berhiz Technologies that work will proceed.
4. Scope
The scope of each engagement will be determined by the applicable quotation, proposal, package, statement of work or written agreement.
Work outside the agreed scope may require a separate quotation or additional fee.
5. Commencement of Work
Unless otherwise agreed, Berhiz Technologies may commence work after required payment or deposit, required information and materials, approvals and necessary access have been received.
Client delays may affect delivery timelines.
6. Client Responsibilities
The client is responsible for:
- providing accurate information;
- supplying required content and materials;
- providing appropriate access where required;
- reviewing work within a reasonable time;
- providing clear and consolidated feedback; and
- obtaining necessary permissions for materials supplied to Berhiz Technologies.
7. Client Delays
Where progress depends on information, content, approvals, access, payment or decisions from the client, delays in receiving these items may extend the project timeline.
We are not responsible for delays caused by the client's failure to provide required materials or instructions.
8. Changes to a Project
A client may request changes to an agreed project.
Minor changes within the agreed scope may be handled as part of the existing engagement.
Material changes to functionality, structure, content, design direction, integrations, technical requirements or deliverables may constitute additional work.
9. Additional Work
Where additional work is requested or becomes necessary because of a change in scope, Berhiz Technologies may provide a revised quotation or additional fee before carrying out that work.
We will seek reasonable clarification or approval where the additional work has a material effect on cost or delivery.
10. Website Design & Development
Website projects may include design, development, responsive implementation, content implementation, integrations, testing and handover according to the agreed scope.
Features or services not expressly included are not automatically part of the project.
These may include additional hosting, domain services, premium software, paid APIs, third-party subscriptions, ongoing maintenance or future feature development.
11. Website Content
The client is responsible for supplying or approving content used for its website.
The client must ensure that supplied text, photographs, graphics, logos, trademarks, documents and other materials are accurate and lawfully available for use.
12. Website Testing and Approval
Before final handover, the client may be asked to review the website and identify reasonable corrections within the agreed scope.
Once the agreed deliverables have been reviewed and approved, or made available for final approval, the project may be treated as substantially completed subject to any agreed post-delivery support.
13. Brand Identity & Digital Design
Brand identity and digital design services will be delivered according to the agreed scope.
Deliverables may include agreed brand assets, graphics, visual systems, layouts, stamp designs (design only, unless physical production is explicitly included) or other design materials. Physical items, such as printed business cards, letterheads, or framed certificates, will be delivered according to the agreed package terms.
Concepts, drafts and exploratory work may be revised according to the agreed revision allowance.
14. Technology Consultation & Assessment
Technology consultations and assessments are advisory services based on the information available at the time.
Recommendations may depend on the client's existing environment, objectives, budget, technical limitations and information supplied.
A consultation does not automatically include implementation, ongoing support or management unless expressly agreed.
15. Business Technology Management
Business Technology Management services may include ongoing technology oversight, support, maintenance coordination, improvement and management of agreed technology environments.
The precise responsibilities and service level will depend on the applicable engagement.
BTM does not automatically make Berhiz Technologies responsible for every technology issue, system, device, vendor, platform, network, security event or operational problem affecting the client.
16. Technology & Infrastructure Solutions
Technology & Infrastructure services may include, where agreed:
- Network & Connectivity;
- Security & Surveillance;
- Power, Energy & Electrical;
- IT Infrastructure;
- Safety & Fire Systems; and
- Technical Installation, Upgrades & Repairs.
The specific equipment, installation requirements, third-party dependencies and technical scope will be determined by the applicable engagement.
17. Third-Party Services
Projects may require third-party services, platforms, software, hosting, APIs, payment providers, communication systems, licences or other external resources.
Unless expressly included, third-party charges are the client's responsibility.
Third-party services remain subject to their own terms, availability, pricing and policies.
18. Specialist Partners
Berhiz Technologies may engage approved specialist partners, contractors or subcontractors where reasonably necessary to deliver an agreed service.
Where this occurs, we will manage the relevant work within the agreed scope, subject to the applicable third-party dependencies.
19. Revisions
Unless otherwise stated in a quotation or agreement, website and design projects may include two reasonable revision rounds as a standard allowance.
A revision means a reasonable adjustment to an existing agreed direction.
A substantially new concept, new functionality, major change of direction or work outside the agreed scope may be treated as additional work.
20. Approval and Acceptance
The client is responsible for reviewing deliverables and providing feedback or approval within a reasonable period.
Where the client approves a deliverable, confirms that it is satisfactory, or requests final handover, the relevant deliverable may be treated as accepted.
21. Payment Milestones
Payment arrangements may include:
- full payment before work begins;
- an initial deposit followed by staged payments;
- milestone payments;
- payment of a balance before final handover; or
- another arrangement agreed in writing.
The applicable quotation or agreement will determine the payment schedule.
22. Delivery
Delivery dates are estimates unless a specific deadline is expressly guaranteed in writing.
Delivery may depend on client approvals, materials, payment, third-party services, CAC or regulatory reviews and queries, physical printing and dispatch constraints, technical access, external systems and other factors outside our reasonable control.
23. Handover
Where applicable, final project files, credentials, agreed deliverables or access details may be provided after the client's payment obligations have been satisfied.
Handover does not automatically include ongoing maintenance or support unless separately agreed.
24. Post-Delivery Support
Any post-delivery support included in an engagement will be limited to the period, scope and conditions agreed with the client.
Support outside the agreed allowance may be chargeable.
25. Intellectual Property
Unless otherwise agreed, Berhiz Technologies retains ownership of its pre-existing materials, reusable tools, frameworks, templates, components, methods, processes and know-how.
Where an engagement provides for transfer of final custom deliverables, such transfer will take effect subject to the applicable agreement and receipt of required payment.
Third-party assets and licensed materials remain subject to their respective licences and terms.
26. Client-Provided Materials
The client is responsible for ensuring that materials supplied to Berhiz Technologies are accurate and that the client has the necessary rights, licences or permissions for their use.
The client remains responsible for the legality of materials and instructions supplied by the client.
27. Confidentiality
Berhiz Technologies will take reasonable steps to protect confidential information received from a client in connection with an engagement.
Confidentiality obligations do not apply to information that is publicly available, already lawfully known, independently developed, or required to be disclosed by law or lawful authority.
28. Personal Information
Where personal information is processed during an engagement, Berhiz Technologies will handle it in accordance with our Privacy Policy and applicable data-protection requirements.
Clients should provide only information reasonably necessary for the relevant service.
29. Third-Party Specialists
Where a project requires specialist expertise, Berhiz Technologies may use approved third-party specialists where reasonably necessary.
The client may be informed where the involvement materially affects the scope, cost or delivery of the engagement.
30. Suspension of Services
We may suspend work where reasonably necessary because of:
- non-payment;
- material breach of the engagement;
- failure to provide required information or access;
- fraudulent or unlawful instructions;
- abusive or threatening conduct;
- a significant security risk; or
- circumstances making continued performance impractical or unlawful.
31. Cancellation and Termination
Cancellation and termination will be handled according to the applicable agreement and our Refund, Cancellation & Rescheduling Policy.
Work already completed, committed costs and non-refundable third-party charges may be considered when determining any amount payable or refundable, subject to applicable law.
32. Refunds
Refunds are governed by our Refund, Cancellation & Rescheduling Policy and any service-specific terms.
Nothing in these Service & Engagement Terms is intended to unlawfully exclude or restrict a client's statutory or consumer rights.
33. Communication
The client should provide accurate and accessible contact details and monitor communications relating to an active engagement.
Where project progress depends on client feedback or approval, unreasonable communication delays may affect delivery timelines.
34. Completion of an Engagement
An engagement may be considered completed when:
- agreed deliverables have been provided;
- the client has approved or accepted the deliverables;
- the agreed scope has been substantially completed; or
- the engagement has otherwise ended according to its applicable terms.
35. No Automatic Ongoing Obligation
Completion of a project does not automatically create an ongoing maintenance, support, hosting, monitoring or management obligation.
Any continuing service must be separately agreed.
36. Relationship with Other Policies
These Service & Engagement Terms should be read together with:
- our Terms & Conditions;
- Privacy Policy;
- Cookie Policy;
- CAC Registration Terms, where applicable; and
- Refund, Cancellation & Rescheduling Policy.
Where a specific written agreement expressly addresses a particular issue differently, that specific agreement may govern the relevant issue to the extent permitted by law.
37. Changes to These Terms
We may update these Service & Engagement Terms to reflect changes in our services, technology, legal requirements or business practices.
The updated version will be published with a revised “Last Updated” date.
Changes will not automatically alter an existing engagement unless the applicable agreement permits such changes.
